Terms of Use

RWA Kernel is an informational platform and registry for tokenized real-world assets. We provide:

• Structured metadata about selected tokenized assets ("Assets")
• Developer and agent-facing APIs
• A "Token Inspector" tool
• Educational "Lab" instruments (e.g., Kernel Revenue Share Token, "KRS"), which are simulations only

RWA Kernel does not issue, custody, broker, or execute transactions in any assets.

Nothing on the Service is, or should be taken as:

• Investment advice or a recommendation to buy, sell, or hold any asset
• Legal, tax, accounting, or regulatory advice
• An endorsement of any issuer, protocol, or asset

All content is provided for informational and educational purposes only. You are solely responsible for your own investment decisions and for obtaining independent professional advice where appropriate.

Use of the Service does not:

• Create any client, advisory, fiduciary, broker-dealer, or agency relationship between you and RWA Kernel or its operators
• Make RWA Kernel a party to any transaction you may conduct with any third party

The data and classifications we provide (including asset descriptions, eligibility notes, risk flags, yields, and other metrics) are:

• Based on sources we believe to be reliable, but
• May be incomplete, out of date, or inaccurate, and
• Are not guaranteed

We may change, update, or remove any content at any time without notice. You should not rely on the Service as the sole source of truth. Always refer to official documentation, offering materials, and applicable regulations.

"Lab" assets (including, without limitation, Kernel Revenue Share Token "KRS") are:

• Simulated or testnet-based instruments
• Not real securities, funds, or investment products
• Provided purely to illustrate how tokenization and cash flows could work

Lab assets must not be treated as investment opportunities, and no real money should be committed in reliance on Lab content.

You agree not to:

1. Use the Service for any unlawful purpose, or in violation of any applicable law or regulation.
2. Use the Service to provide investment, legal, or tax advice to others in a way that implies RWA Kernel's endorsement or participation.
3. Attempt to breach, probe, scan, or test the vulnerability of the Service or its infrastructure.
4. Interfere with or disrupt the Service or its users (e.g., via DDoS, scraping beyond reasonable limits, or automated abuse).
5. Misrepresent your identity or affiliation when interacting with the Service or its operators.
6. Use the Service to build a substantially similar or competing public dataset or API without prior written permission.

We may suspend or terminate access to the Service for any user we reasonably believe to be in violation of these Terms.

RWA Kernel may provide one or more APIs (including, but not limited to, /api/assets, /api/assets/:id, /api/assets/by-address/:chain/:address, /api/inspect/:chain/:address, /api/labs/krs).

By using the APIs, you agree that:

• The APIs are provided on a beta and "as-is" basis.
• We may impose or modify rate limits, usage quotas, or access methods at any time.
• You will not circumvent or attempt to circumvent rate limits or access controls
• You will not use the APIs in a way that degrades or harms the Service
• You will not repackage or resell raw API responses as a competing API without our prior written consent
• You must respect any robots.txt, caching, or usage instructions published by RWA Kernel.

We reserve the right to revoke API access at any time, for any reason.

Unless otherwise noted:

• The Service, including its design, layout, text, graphics, and underlying software, is owned by RWA Kernel or its licensors.
• You are granted a limited, nonexclusive, nontransferable license to access and use the Service for your personal or internal business purposes.

You may:

• Reference our data and schema in your own applications and research, subject to these Terms.
• Link to RWA Kernel pages and APIs.

You may not:

• Claim or imply that RWA Kernel endorses your product or service without written permission.
• Remove, obscure, or alter any copyright, trademark, or attribution notices.
• Copy substantial portions of the Service to create a competing public registry, directory, or API without our written consent.

The Service may reference or link to:

• Issuer websites and documentation
• Block explorers
• Other analytics or data providers

These are provided for convenience only. RWA Kernel does not control and is not responsible for any third-party sites or content. Your use of third-party resources is at your own risk and subject to their terms and policies.

The Service is provided on an "as-is" and "as-available" basis.

To the maximum extent permitted by law, RWA Kernel and its operators:

• Disclaim all warranties, express or implied, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, and non-infringement.
• Do not warrant that the Service will be uninterrupted, timely, secure, or error-free.
• Do not warrant that any data or content is accurate, complete, or up to date.

You use the Service at your own risk.

To the maximum extent permitted by law:

• RWA Kernel and its operators shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or relating to your use of (or inability to use) the Service.
• In no event shall the aggregate liability of RWA Kernel and its operators exceed USD $100 (or the minimum amount permitted by applicable law, if greater).

These limitations apply whether the claim is based on contract, tort, negligence, strict liability, or other legal theory, even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless RWA Kernel and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation

We may modify, suspend, or discontinue any part of the Service at any time without notice.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes arising out of or relating to these Terms or the Service.
